1. Introduction

Welcome to VXL ("we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of the VXL platform, including our AI-powered receptionist and sales automation services (collectively, the "Service").

By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service.

VXL is operated by Vessel Tech Inc., a technology company providing artificial intelligence solutions for business automation.

2. Service Description

VXL provides two primary AI-powered services:

AI Receptionist

Our AI receptionist operates 24/7 to handle incoming calls, schedule appointments, answer common questions, route calls to appropriate personnel, and capture lead information. The system integrates with your existing phone infrastructure and CRM systems.

AI Sales Automation

Our AI sales platform automates outbound and inbound sales conversations, qualifies leads, delivers product information, handles objections, schedules demonstrations, and processes initial sales inquiries. The system is designed to scale sales operations without proportional increases in human resources.

Both services utilize advanced natural language processing, voice synthesis, and machine learning to provide human-like interactions. The Service integrates with third-party platforms including HubSpot, Vapi, and Auth0 to deliver comprehensive functionality.

3. Pricing & Billing Terms

3.1 Service Tiers

VXL offers subscription-based pricing with monthly tiers ranging from $3,500 to $15,000 per month, depending on usage volume, features, and customization requirements. Specific pricing for your account will be outlined in your subscription agreement.

3.2 Billing Cycle

Services are billed monthly in advance. Your subscription will automatically renew each month unless canceled prior to the renewal date. Payment is due upon receipt of invoice.

3.3 Payment Methods

We accept major credit cards, ACH transfers, and wire transfers. All fees are quoted and payable in U.S. dollars.

3.4 Late Payments

Late payments may result in service suspension. We reserve the right to charge interest on overdue amounts at a rate of 1.5% per month (or the maximum permitted by law, whichever is lower).

3.5 Price Changes

We reserve the right to modify pricing with 30 days' written notice. Continued use of the Service after price changes constitutes acceptance of the new pricing.

4. 100% Money-Back Guarantee

We stand behind our Service with a 100% money-back guarantee under the following conditions:

  • The guarantee applies to the first 30 days of your initial subscription only.
  • To qualify, you must have actively used the Service and engaged with our support team to address any concerns.
  • Refund requests must be submitted in writing to support@vessel.nyc within the 30-day period.
  • Refunds will be processed within 14 business days of approval.
  • The guarantee does not apply to custom development fees, setup fees, or third-party service costs.

This guarantee demonstrates our confidence in the Service and our commitment to customer satisfaction. We encourage open communication about any issues or concerns.

5. Service Level Commitments

5.1 Availability

We strive to maintain 99.5% uptime for the Service, measured monthly. Scheduled maintenance windows are excluded from uptime calculations and will be announced at least 48 hours in advance when possible.

5.2 Support

Technical support is available via email at support@vessel.nyc during business hours (9 AM - 6 PM EST, Monday-Friday). Enterprise customers may receive dedicated support channels as outlined in their subscription agreement.

5.3 Performance

While we make every effort to ensure optimal performance, AI-driven services may occasionally produce unexpected results. We continuously improve our models and systems based on usage data and feedback.

5.4 No Warranty

The Service is provided "as is" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

6. User Responsibilities

As a user of the Service, you agree to:

  • Provide accurate, current, and complete information during registration and maintain updated account information.
  • Maintain the security and confidentiality of your account credentials.
  • Comply with all applicable laws and regulations, including telemarketing laws (TCPA, TSR), data protection regulations (GDPR, CCPA), and industry-specific requirements.
  • Use the Service only for lawful purposes and in accordance with these Terms.
  • Not use the Service to transmit spam, malicious code, or prohibited content.
  • Not attempt to circumvent security features or access systems without authorization.
  • Not resell, sublicense, or transfer access to the Service without written permission.
  • Obtain proper consent before initiating automated communications with individuals.
  • Promptly notify us of any unauthorized access or security breaches.

Violation of these responsibilities may result in immediate suspension or termination of your account.

7. Intellectual Property Rights

7.1 VXL Property

The Service, including all software, algorithms, technology, content, trademarks, and materials, is owned by Vessel Tech Inc. and protected by copyright, trademark, patent, trade secret, and other intellectual property laws.

7.2 License Grant

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes in accordance with these Terms.

7.3 Your Content

You retain ownership of any content you submit to the Service (call scripts, customer data, configurations, etc.). You grant us a worldwide, royalty-free license to use, store, and process this content solely to provide the Service.

7.4 Feedback

Any feedback, suggestions, or ideas you provide about the Service may be used by us without obligation or compensation to you.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • VXL AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION.
  • OUR TOTAL LIABILITY FOR ANY CLAIMS RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.
  • WE ARE NOT RESPONSIBLE FOR THE ACTIONS, CONTENT, OR DATA OF THIRD PARTIES, INCLUDING INTEGRATION PARTNERS.
  • YOU ACKNOWLEDGE THAT AI SYSTEMS MAY PRODUCE ERRORS AND AGREE TO REVIEW CRITICAL COMMUNICATIONS BEFORE CUSTOMER DELIVERY.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so some limitations may not apply to you.

9. Termination

9.1 Termination by You

You may cancel your subscription at any time by providing written notice to support@vessel.nyc. Cancellation will be effective at the end of your current billing period. No refunds will be provided for partial months.

9.2 Termination by Us

We may suspend or terminate your access immediately if you:

  • Violate these Terms or our Acceptable Use Policy
  • Fail to pay amounts owed
  • Engage in fraudulent or illegal activity
  • Pose a security risk to the Service or other users

9.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. We will provide you with a reasonable opportunity (typically 30 days) to export your data. After this period, we may delete your data from our systems.

10. Dispute Resolution

10.1 Informal Resolution

In the event of any dispute, we encourage you to first contact us at legal@vessel.nyc to seek an informal resolution.

10.2 Arbitration

Any disputes that cannot be resolved informally shall be resolved through binding arbitration in accordance with the American Arbitration Association's Commercial Arbitration Rules. Arbitration will be conducted in New York, NY.

10.3 Class Action Waiver

You agree that disputes will be resolved individually and waive the right to participate in class actions, class arbitrations, or representative proceedings.

10.4 Governing Law

These Terms shall be governed by the laws of the State of New York, without regard to conflict of law principles.

11. Changes to Terms

We may modify these Terms from time to time. When we make material changes, we will notify you by:

  • Posting the updated Terms on our website with a new "Last Updated" date
  • Sending an email notification to your registered email address
  • Displaying a prominent notice within the Service

Your continued use of the Service after such notification constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Service and cancel your subscription.
